01 · Acceptance
Acceptance
These Terms of Service form an agreement between you and VECTOREE INC., Singapore, governing access to the Vectoree website and Service. By creating an account, accessing the API, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
02 · Definitions
Definitions
“Service” means Vectoree’s cloud backend for coding agents (models, tools, auth, database, storage, and related APIs). “Organization” means a workspace or billing entity on the Service. “Customer Data” means data you or your users submit to the Service. “AI Agents” means automated clients, bots, or agents that call the Service under your credentials. “Credits” or “Wallet” means prepaid or metered balance used for usage-based billing.
03 · Accounts
Eligibility and accounts / organizations
You must be able to form a binding contract and meet any age or export eligibility requirements. You are responsible for account registration accuracy, organization membership, and for all activity under your accounts and API credentials. Keep passwords and keys confidential and notify us of suspected compromise.
04 · License
License to access the Service
Subject to these Terms and your plan limits, VECTOREE INC. grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business or development purposes. We reserve all rights not expressly granted. You may not reverse engineer, resell, or misuse the Service except as allowed by law.
05 · Acceptable use
Acceptable use and prohibited conduct
You may not use the Service to violate law, infringe others’ rights, distribute malware, probe or disrupt systems you do not own, bypass rate limits or security, mine cryptocurrency without authorization, or generate illegal or abusive content. We may investigate and suspend access for suspected violations.
06 · Agents
AI agents — customer responsibility
If you connect AI Agents or automated clients, you remain fully responsible for their actions, prompts, tool calls, and outputs under your account, including compliance with these Terms and third-party model provider rules. Vectoree does not supervise your agents’ real-world decisions. You must monitor usage and revoke credentials when agents are retired.
07 · Content & IP
Customer content and intellectual property
As between you and Vectoree, you retain rights in Customer Data and your Inputs. You grant us a license to host, process, transmit, and display Customer Data solely to provide and secure the Service. Model Outputs may be subject to third-party provider terms. Feedback you send may be used to improve the Service without obligation to you. We do not use Customer Data to train foundation models for other customers.
08 · Fees
Fees, billing, credits, and wallet
Paid features may use subscription plans, metered usage, and/or a prepaid wallet or credits balance as shown in the in-product billing UI. Fees, taxes, top-ups, expiration, and any refunds follow the pricing pages and checkout flow. Unpaid amounts may lead to suspension of paid features or the Service.
09 · Confidentiality
Confidentiality, security, and DPA
Each party may receive confidential information and will protect it with reasonable care. Our handling of personal data is described in the Privacy Policy. Where we process Customer Data as a processor, a Data Processing Addendum forms part of these Terms when executed or incorporated for your account. Security practices are described at a high level in the Privacy Policy.
10 · Termination
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, non-payment, legal requirements, or discontinuation of the Service with notice where reasonable. Provisions that by nature should survive (including IP, fees owed, disclaimers, and liability limits) survive termination.
11 · Disclaimers
Disclaimers
THE SERVICE AND ANY MODEL OR AGENT OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTOREE INC. DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE OR UNSAFE; YOU MUST REVIEW THEM BEFORE RELYING ON THEM.
12 · Liability
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTOREE INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFITS DAMAGES, OR FOR LOSS OF DATA OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR SGD 100 IF YOU PAID NOTHING.
13 · Governing law
Governing law and dispute resolution
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules that would require another jurisdiction’s law. Disputes will be resolved in the courts of Singapore. These Terms do not adopt US state-law arbitration defaults such as AAA or JAMS.
14 · Changes
Changes and contact
We may modify the Service or these Terms. Material changes will be posted with an updated “Last updated” date and may be notified in-product.
